Section 1: Introduction1.1 Agreement to TermsThese Terms of Use (the “Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Epos Development Limited, a company incorporated under the laws of the British Virgin Islands with company number 2148009 and registered office at Quijano Chambers, P.O. Box 3159, Road Town, Tortola, British Virgin Islands (“Aspis,” “Company,” “we,” “us,” or “our”), governing your access to and use of the Aspis Telegram Bot and associated services, features, and content made available through or in connection with it (collectively, the “Services”).
1.2 Acceptance of TermsBy accessing, installing, or using the Services in any manner, including through the Telegram interface or associated APIs, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you must immediately discontinue your use of the Services.
1.3 Changes to the TermsWe reserve the right to modify or update these Terms at any time, at our sole discretion. Any changes will become effective immediately upon posting. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of those changes. We encourage you to review the Terms regularly.
1.4 Additional AgreementsYour use of the Services is also subject to any other legal terms, guidelines, policies, or rules posted or provided by us, including our Privacy Policy, Risk Disclosure Statement, and any other applicable documentation (collectively, the “Supplemental Terms”). Such Supplemental Terms are hereby incorporated into these Terms by reference.
1.5 Nature of the ServicesThe Services consist of an AI-powered assistant made available via Telegram, which facilitates access to blockchain-related data, tools, and decentralized finance (DeFi) interactions. The Services are strictly non-custodial and do not involve the holding or management of digital assets. We do not provide financial, investment, legal, tax, or brokerage advice. We do not execute transactions or trades on behalf of users, nor do we recommend specific assets, tokens, or protocols. All content, suggestions, or outputs provided by the AI assistant are for general informational purposes only and do not constitute a recommendation or solicitation to engage in any investment activity. Any outputs, including indicators, patterns, or alerts generated by the Services or the AI assistant that resemble trading signals are algorithmic or data-driven reflections and are not personalized, actionable advice. They do not consider your personal financial situation, objectives, or risk tolerance. You acknowledge and agree that you are solely responsible for verifying the accuracy and suitability of any information or decisions made in connection with your use of the Services.
Section 2: Eligibility and User Representations2.1 Age and CapacityBy accessing or using the Services, you represent and warrant that you are at least eighteen (18) years old or the age of majority in your jurisdiction, whichever is greater, and that you have the full legal capacity to enter into and be bound by these Terms.
2.2 Prohibited JurisdictionsYou may not access or use the Services if you are located in, incorporated in, or otherwise a citizen or resident of:
(a) a country or territory that is subject to comprehensive sanctions or embargoes imposed by the United Nations, the United States (including those administered by the Office of Foreign Assets Control, “OFAC”), the European Union, the United Kingdom, or any other applicable jurisdiction; or
(b) any jurisdiction where such use would be illegal or would subject Aspis or its affiliates to any legal or regulatory requirements, licensing, or penalties.
This includes, but is not limited to: Cuba, Iran, North Korea, Syria, the Crimea, Donetsk, and Luhansk regions of Ukraine.
You further represent that you are not identified on any government list of prohibited or restricted parties, including OFAC’s Specially Designated Nationals (SDN) list.
2.3 Use on Behalf of an EntityIf you access or use the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have full legal authority to bind such entity to these Terms. In such cases, all references to “you” or “your” shall also refer to that entity.
2.4 User Representations and WarrantiesBy using the Services, you further represent, warrant, and agree that:
- You will not use the Services for any purpose that is unlawful, fraudulent, abusive, or otherwise prohibited by these Terms or applicable law;
- You will not engage in market manipulation, wash trading, spoofing, front-running, or any other deceptive or manipulative activity;
- You are solely responsible for ensuring that your use of the Services complies with all applicable laws, rules, and regulations;
- You will not use any automated or non-human method of interacting with the Services without our express written consent;
- You own, or have the legal right to use, any blockchain wallet or account you connect to the Services;
- All information you submit is truthful, current, and complete and will be updated if it changes.
Section 3: Account Registration and Security3.1 Access via TelegramThe Services are accessed through Telegram, a third-party messaging platform. You acknowledge that your use of Telegram is subject to its own terms of service and privacy policies, which are entirely separate from those of Aspis. We do not control or operate Telegram and are not responsible for its actions, content, or security.
3.2 No Username/Password Account SystemYou are not required to create a traditional username/password account to use the Services. Instead, access is established through your Telegram account and optionally via the connection of a blockchain wallet. You are solely responsible for maintaining the confidentiality of your Telegram credentials and any linked wallets.
3.3 Wallet Connection and AuthenticationCertain functionalities of the Services require you to connect a self-custodied blockchain wallet (e.g., via WalletConnect, MetaMask, or other supported options). By connecting a wallet, you represent and warrant that you are the authorized user and lawful owner of the wallet and its associated assets. You must not use a wallet that is not legally and rightfully yours.
3.4 Responsibility for Wallet Security You acknowledge and agree that:
- You are solely responsible for managing your private keys, seed phrases, and wallet security;
- We do not have custody, access, or control over your wallet, private keys, or funds at any time;
- Any transactions initiated via your wallet are your sole responsibility and cannot be reversed, canceled, or recovered by us.
3.5 AI Prompt and Interaction ResponsibilityInteractions with the Services may include the use of a generative AI assistant. You are solely responsible for the accuracy, legality, and consequences of any information or instructions you provide to the AI. We are not liable for any output or action taken by the AI in response to your prompt or command. You agree not to use the AI assistant to generate, request, or disseminate unlawful, harmful, or misleading content, and we reserve the right to suspend or block access in such cases.
3.6 Monitoring and SuspensionWe reserve the right, but not the obligation, to monitor activity on the Services. We may suspend or terminate your access without notice if we believe, in our sole discretion, that your use violates these Terms, applicable laws, or creates a risk of legal or reputational harm to Aspis.
Section 4: Use of the Services and Acceptable Use Policy4.1 Permitted UseYou may use the Services solely for lawful purposes, in accordance with these Terms and all applicable laws and regulations. The Services are intended to provide informational and functional tools related to on-chain data, DeFi operations, and wallet management, without offering financial advice, asset custody, or execution on behalf of users.
4.2 Prohibited Conduct You agree not to, directly or indirectly:
- Use the Services for any unlawful, illegal, fraudulent, or harmful activity;
- Use the Services to engage in, promote, or facilitate:
- Money laundering or terrorist financing;
- Market manipulation, wash trading, front-running, or pump-and-dump schemes;
- The offering, sale, or promotion of unregistered securities or tokens;
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services, servers, or underlying smart contracts;
- Use bots, scrapers, crawlers, or other automated systems to extract or collect data from the Services;
- Upload or transmit any code, malware, viruses, or other harmful materials;
- Misrepresent your identity, impersonate any other person, or use wallet addresses or Telegram accounts that you do not own;
- Circumvent, disable, or otherwise interfere with security features of the Services;
- Use the Services in a manner that violates intellectual property rights, privacy rights, or other rights of any third party;
- Use the Services if you are barred from doing so under applicable law, including sanctions regulations;
- Modify, reverse engineer, decompile, or disassemble any part of the Services.
4.3 No Financial, Legal, or Tax AdviceYou acknowledge and agree that:
- The Services, including the AI assistant, do not provide financial, investment, legal, or tax advice of any kind;
- Any content, data, or output generated is for general informational purposes only and should not be relied upon as a substitute for professional advice;
- You are solely responsible for your own investment decisions, actions, or inactions, and Aspis is not liable for any resulting losses or damages.
4.4 User-Generated InputYou are solely responsible for any data, commands, or prompts you input into the Services. You must not input or upload any content that:
- Infringes the rights of others;
- Contains false or misleading information;
- Includes personal data without consent;
- Promotes unlawful or abusive behavior.
We do not moderate or verify the accuracy of any user-generated prompts or outputs and are not responsible for content or claims made by other users of the Services.
4.5 Violation of the TermsWe reserve the right to suspend or terminate your access to the Services without notice or liability if we believe, in our sole discretion, that you have violated these Terms, engaged in any prohibited conduct, or otherwise pose a legal, reputational, or operational risk to Aspis or other users.
Section 5: Intellectual Property and License Rights5.1 Ownership of the ServicesAll rights, title, and interest in and to the Services — including any associated software, user interfaces, bot logic, branding elements, visual content, generative AI outputs, and other components (collectively, the “Aspis Materials”) — are protected under applicable intellectual property laws. The Services may include proprietary materials, open-source components, and third-party integrations.
Nothing in these Terms shall be construed to confer any ownership rights in or to the Aspis Materials or Services to you or any other third party.
5.2 License to YouSubject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use only. This license does not permit:
- Any resale, distribution, public display, or reproduction of the Services or any part thereof;
- Use of the Services in connection with the development or provision of a competing product or service;
- Any commercial exploitation of the Services, without our prior written consent.
5.3 Restrictions on UseYou shall not:
- Copy, modify, distribute, sell, license, lease, or otherwise exploit any part of the Services;
- Decompile, reverse engineer, or attempt to discover the source code or algorithms of the Services, except to the limited extent expressly permitted by applicable law;
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices on or in the Services.
5.4 Feedback and Suggestions If you provide us with any suggestions, ideas, feedback, or other input regarding the Services (“Feedback”), You grant to us a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, non-exclusive, transferable, and sublicensable license to use, reproduce, modify, incorporate, distribute, and otherwise exploit such Feedback for any purpose. This excludes any confidential business information expressly disclosed as such by the submitting party.
5.5 Third-Party ContentThe Services may display or link to content or software owned by third parties. Such content is provided for informational purposes only, and Aspis does not claim ownership over any third-party materials. The use of any third-party content or tools is subject to the respective terms and conditions of those third parties.
Section 6: Disclaimers and Risk Disclosures6.1 Informational Purposes OnlyThe Services are provided for general informational and educational purposes only. All content, tools, interfaces, prompts, and AI-generated responses are intended solely to assist users in exploring blockchain-based systems and interacting with decentralized protocols. We do not provide financial, investment, legal, tax, or any other professional advice, and no aspect of the Services should be interpreted as such.
6.2 No WarrantiesThe Services are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied. To the maximum extent permitted by applicable law, we expressly disclaim all warranties, representations, or conditions of any kind, including but not limited to:
- Merchantability,
- Fitness for a particular purpose,
- Non-infringement,
- Accuracy, reliability, or completeness of any content or outputs,
- Continuous or secure access to the Services.
We do not guarantee that the Services will be uninterrupted, timely, error-free, or free of viruses or other harmful components.
6.3 AI LimitationsThe AI assistant may produce inaccurate, outdated, or misleading outputs, including responses related to token prices, DeFi strategy, or on-chain activity. All outputs should be independently verified, and users are solely responsible for any actions taken based on AI responses. The AI does not understand context, laws, or personal financial circumstances. The AI assistant is a probabilistic model and may generate outputs based on incomplete or outdated blockchain data. It does not have real-time market awareness or access to live trading infrastructure.
6.4 Blockchain and Smart Contract RisksBy using the Services, you acknowledge and accept the inherent risks associated with blockchain technologies, including:
- Irreversible transactions and wallet mismanagement;
- Smart contract bugs or vulnerabilities;
- Market volatility and liquidity risk;
- Protocol governance changes or exploits;
- Gas fees and failed transaction costs;
- Interactions with third-party or unaudited contracts.
Aspis may deploy and maintain smart contracts related to its Vault system and other on-chain functionalities, and these smart contracts may undergo audits prior to deployment. However, no audit can fully eliminate all risks. You acknowledge that the use of blockchain infrastructure — even if audited — involves risk, and you use it at your own discretion and responsibility.
6.5 Third-Party IntegrationsThe Services may reference or interface with third-party platforms, APIs, protocols, or services (e.g., RPC providers, blockchain data sources, Telegram). We are not responsible for the performance, security, or reliability of any third-party technology and disclaim all liability arising from their use.
6.6 Jurisdictional LimitationsWe make no representation that the Services are appropriate or available for use in any particular jurisdiction. Accessing or using the Services is done at your own risk and initiative. It is your responsibility to ensure that your use complies with all local laws, rules, and regulations.
6.7 User Assumes All RiskYou acknowledge and agree that you are solely responsible for your use of the Services, your wallet, your assets, and any actions you take based on information or tools provided. You agree that we shall have no liability whatsoever for any losses, damages, or liabilities you may incur as a result of your use of or reliance upon the Services.
Section 7: Limitation of Liability7.1 Exclusion of Indirect DamagesTo the fullest extent permitted by applicable law, in no event shall Aspis, its affiliates, directors, officers, employees, agents, contractors, licensors, or service providers be liable to you or any third party for any indirect, incidental, consequential, special, punitive, exemplary, or enhanced damages arising out of or in connection with:
- Your use of or inability to use the Services;
- Any reliance on outputs, data, prompts, or suggestions provided through the Services;
- Interactions with blockchain networks, smart contracts, or third-party services;
- Unauthorized access to your wallet, Telegram account, or other user data;
- Loss of use, loss of data, lost profits, loss of goodwill, or business interruption;
- Any errors, delays, outages, or performance failures in the Services.
This limitation applies regardless of the legal theory under which such damages are sought (whether contract, tort, negligence, strict liability, or otherwise), even if we were advised of the possibility of such damages.
7.2 Cap on Total LiabilityTo the maximum extent permitted by law, in no event shall Aspis or its affiliates be liable to you or any third party for any damages of any kind in connection with your use of the Services. To the fullest extent permitted by applicable law, our aggregate liability to you for any and all claims, losses, or causes of action — whether in contract, tort, strict liability, or otherwise — shall be zero US dollars (USD $0). If applicable law does not allow a full exclusion of liability, our liability will be limited to the minimum amount permitted.
You acknowledge and agree that you are solely responsible for your own actions and decisions in connection with the Services and that you assume all risk related thereto.
7.3 ApplicabilitySome jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. In such cases, our liability will be limited to the greatest extent permitted by applicable law.
7.4 No Liability for Third PartiesWe are not responsible for the acts or omissions of third parties, including but not limited to Telegram, blockchain networks, RPC or indexing providers, third-party protocols, or integration partners.
7.5 Basis of the Bargain You agree that the limitations of liability set forth in this section are an essential basis of the bargain between you and Aspis and shall apply even if any limited remedy fails of its essential purpose.
Section 8: IndemnificationYou agree to defend, indemnify, and hold harmless Epos Development Limited, its affiliates, directors, officers, employees, contractors, service providers, licensors, and agents (collectively, the “Indemnified Parties”) from and against any and all actual or alleged claims, damages, liabilities, losses, costs, expenses, fines, penalties, or demands — including reasonable attorneys’ fees and expenses — arising out of or relating to:
(a) your use of or access to the Services, including any interaction with the AI assistant, smart contracts, or third-party protocols;
(b) your violation or breach of these Terms, any applicable law or regulation, or any rights of a third party;
(c) any content or data you submit through the Services, including misleading, unlawful, or infringing material;
(d) any claim that your use of the Services has harmed or caused damage to any other user or third party.
We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully with our defense of such claim. You may not settle or compromise any claim without our prior written consent.
This indemnity obligation shall survive the termination or expiration of these Terms and your use of the Services.
Section 9: Termination and Suspension9.1 Termination by YouYou may cease using the Services at any time. You are solely responsible for discontinuing access via Telegram and for disconnecting any linked blockchain wallets or integrations. These Terms will continue to apply to any use of the Services that occurred prior to termination.
9.2 Suspension or Termination by AspisWe reserve the right, in our sole discretion and without prior notice, to suspend, restrict, or terminate your access to all or any part of the Services, at any time and for any reason, including but not limited to:
- Violation of these Terms or any Supplemental Terms;
- Suspected fraudulent, abusive, or illegal activity;
- Attempts to access or interfere with systems, smart contracts, or data in unauthorized ways;
- Conduct that, in our judgment, creates legal risk or harms other users or the reputation of the Services.
We may, without notice, suspend or restrict access to the Services for users who appear to be subject to applicable trade or financial sanctions, or where continued access could create legal or regulatory exposure for Aspis.
We are not obligated to disclose the reason for any suspension or termination, nor are we liable to you or any third party for any such action.
9.3 Effects of TerminationUpon termination:
- Your right to access and use the Services will immediately cease;
- Any data or settings stored locally (e.g., Telegram chat history or wallet interactions) may remain on your device but will no longer interact with our backend systems, if any;
- These Terms shall terminate except for provisions that, by their nature, are intended to survive termination, including Sections 6–12.
9.4 No Refunds or CompensationTo the extent the Services are provided free of charge, you agree that you are not entitled to any refund or compensation. If we introduce paid features, any associated fees and refund rights will be governed by a separate agreement or fee policy applicable to that feature.
Section 10: Governing Law and Dispute Resolution10.1 Governing LawThese Terms, and any dispute or claim arising out of or in connection with them or your use of the Services (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to any conflict of laws principles.
10.2 Exclusive JurisdictionYou agree that any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be brought exclusively in the courts of the British Virgin Islands, and you hereby submit to the personal jurisdiction of such courts for the purpose of litigating all such claims. You waive any objection to venue and jurisdiction on the grounds of inconvenient forum or otherwise.
10.3 Informal Dispute ResolutionBefore initiating any formal legal proceeding, you agree to first contact us at
info@aspis.finance and attempt to resolve any dispute with us informally. You must allow at least thirty (30) days for us to respond and attempt to reach an amicable resolution.
10.4 No Class ActionsTo the fullest extent permitted by law, you agree that any claims against us must be brought solely in your individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, or mass action proceeding.
10.5 Time Limit to File ClaimsYou agree that any claim or cause of action you may have arising out of or related to your use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be permanently barred.
Section 11: Privacy and Data11.1 Data CollectionBy using the Services, you acknowledge and agree that we may collect and process certain limited data to enable core functionality. This may include:
- Telegram user ID and chat interactions;
- Wallet addresses voluntarily connected by you;
- Technical metadata (e.g., IP address, device type, usage logs);
- Prompts and messages submitted through the AI assistant.
We collect limited personal data including Telegram user ID and wallet address, which may constitute personal data under certain laws. This data is used solely to provide the Services and is handled in accordance with our Privacy Policy and applicable data protection laws, including GDPR where applicable.
11.2 Use of DataWe may use the data described above to:
- Provide, operate, and improve the Services;
- Respond to inquiries or support requests;
- Monitor system performance and detect abuse;
- Comply with legal obligations and law enforcement requests.
We do not sell your personal data or use it for advertising purposes.
11.3 Third-Party ServicesThe Services may rely on third-party providers for infrastructure, analytics, or AI processing. These providers may access user data as necessary to perform their functions, subject to contractual obligations of confidentiality and security.
11.4 Data RetentionWe retain data only as long as necessary to fulfill the purposes described in this section or as required by applicable law. You may request the deletion of your data by contacting us at
info@aspis.finance; however, please note that deletion may result in loss of access to certain features.
11.5 Security Measures We implement reasonable technical and organizational safeguards designed to protect data under our control. However, no system can guarantee complete security, and we disclaim liability for unauthorized access resulting from circumstances beyond our reasonable control.
11.6 User Responsibility for WalletsYou are solely responsible for the security of any blockchain wallet you use in connection with the Services. We do not store private keys or seed phrases and cannot access or recover your wallet credentials.
11.7 Privacy PolicyOur handling of personal data is further governed by our Privacy Policy, which is incorporated by reference into these Terms. In the event of any conflict between this section and the Privacy Policy, the Privacy Policy shall prevail.
Section 12: General Provisions12.1 Entire AgreementThese Terms, together with any Supplemental Terms, our Privacy Policy, and any other legal notices published by us, constitute the entire agreement between you and Aspis concerning the use of the Services. They supersede all prior or contemporaneous communications, understandings, or agreements, whether oral or written.
12.2 No WaiverOur failure to enforce any provision of these Terms shall not be deemed a waiver of our right to do so at any time thereafter. Any waiver must be in writing and signed by an authorized representative of Aspis.
12.3 SeverabilityIf any provision of these Terms is held to be unlawful, void, or unenforceable for any reason, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.
12.4 AssignmentYou may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer our rights and obligations under these Terms without restriction.
12.5 Force MajeureWe shall not be held liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, labor shortages, power or internet outages, denial-of-service attacks, or failures of third-party service providers.
12.6 No Agency or PartnershipNothing in these Terms shall be construed as creating any agency, partnership, joint venture, or employment relationship between you and Aspis. You agree that you are acting solely on your own behalf and not on behalf of or as an agent for Aspis or any third party.
12.7 SurvivalAny provisions of these Terms which, by their nature, should survive termination of your use of the Services, shall survive, including but not limited to ownership provisions, warranty disclaimers, limitations of liability, indemnities, and dispute resolution terms.
